Do my foreign documents need to be legalised for a Thai company?

Yes, for now. Documents signed abroad, such as a corporate shareholder's certificate or a power of attorney, are usually notarised and legalised through a Thai embassy or consulate. Thailand has joined the Apostille Convention, which enters into force for Thailand on 28 February 2027; from then an apostille should replace legalisation for most countries.

Is the registered capital part of what I pay OCC for a Thai company?

No. Capital is your company's own money, paid into its Thai bank account, and it funds the business. The package price covers registration work and government fees. At least a quarter of each share must be paid up at registration, and foreign-owned companies often have to show capital brought in from abroad (confirm the amount for your activity with your specialist).

What will a Thai bank ask for when my company opens an account?

The company certificate issued by the DBD, the memorandum and articles, the shareholder list, a board resolution on signatories and the directors' passports. Some banks also ask for a work permit for foreign signatories or for proof of the company's office. The bank decides; we prepare the documents and English translations.

When must my Thai company register for VAT?

Before it starts trading if it expects turnover above 1.8 million baht a year, or within 30 days after its income passes that level. Registration is made at the Area Revenue Office for the head office. Registered companies then file monthly VAT returns.

Does a Thai company pay tax during the year?

Yes. Within two months after the first six months of its accounting period, it files a half-year return (PND 51) and pays half of its estimated tax for the year. The full-year return (PND 50) follows within 150 days of year-end. Estimates far below the final figure can bring a surcharge (confirm with your specialist).

What monthly filings will my Thai company have?

Withholding tax returns on payments such as salaries, services and rent, filed within 7 days of the following month, plus monthly VAT returns if registered and social security contributions for staff. A local accountant usually handles these. We quote bookkeeping once we know your volume.

How do I change a director of my Thai company?

The shareholders pass a resolution and the change is registered with the DBD, normally within 14 days of the resolution (confirm the deadline with your specialist). If the directors' signing authority changes, that is registered at the same time. A foreign director who will work in Thailand also needs a work permit.

Is there stamp duty on a share transfer in a Thai company?

Yes. Duty is 1 baht for every 1,000 baht of the paid-up value of the shares or the value in the transfer document, whichever is greater, and the seller is liable for it. Check the Foreign Business Act position first: a transfer that makes the company majority foreign-owned can change what it is allowed to do.

What does my Thai renewal cover, and what is extra?

How do I close a Thai company?

The shareholders resolve to dissolve and appoint a liquidator, the dissolution is registered with the DBD, and the liquidator settles debts, taxes and assets before registering completion. Expect several months, because the tax audit on closure can take time (confirm the steps with your specialist).
