What does the Dutch notary register for my B.V. besides the deed?

The notary draws up the deed of incorporation, registers the B.V. with the KVK Business Register and records its ultimate beneficial owners in the UBO register. You receive the shareholders' register from the notary as well. That is why the notary's identity and source-of-funds checks come first.

What are the rules for a Dutch B.V. name?

The name must not be confusingly similar to an existing trade name and must not mislead, for example by using a personal name that is not yours. Only the statutory name may carry B.V.; extra trade names cannot include the legal form. The KVK Name Checker searches both the Business Register and the Benelux trademark register.

How much share capital must I pay into a Dutch B.V.?

As little as €0.01, paid in cash or in kind. There is no statutory start-up capital, although banks and suppliers may take a larger capital as a sign of commitment. The capital is your money inside the company, not a fee, and it is separate from the a fixed quote formation price.

Which B.V. costs come on top of the year-2 renewal?

Mainly accounting: bookkeeping, the annual accounts filed with the KVK, the corporate income tax return and VAT returns if the B.V. is VAT-registered. A statutory audit only becomes a cost if the B.V. grows beyond the small-company limits. What do banks ask a Dutch B.V. owned from abroad?

A KVK extract, the deed of incorporation, the UBO registration, ID for every director and UBO, and a clear description of the business, its customers and expected volumes. Dutch banks often ask why the company is Dutch and who manages it from where. Short, consistent answers across all documents speed things up.

When will my B.V. get its VAT number?

You do not apply separately. KVK passes the registration to the Tax Administration, which tells you within 10 working days whether the B.V. is an entrepreneur for VAT. A B.V.'s VAT ID is NL followed by its RSIN number.

What is the deadline for filing a B.V.'s annual accounts?

The board draws up the accounts within 5 months of year end, shareholders adopt them within 2 months, and the B.V. files them with KVK within 8 days of adoption. For a calendar year that means 8 August, or 31 December at the latest with the 5-month extension shareholders can grant. Late filing is punishable by law, and directors can become personally liable if the company later goes bankrupt.

How do I register a new director who lives outside the Netherlands?

Report the change to KVK, and include a copy of the new director's identity document legalised by a notary, consulate, embassy or the municipality where they live. Without that, the new official usually has to sign in person at a KVK office. Directors living outside the EU follow specific document rules, which we check before filing.

Can I close a dormant B.V. quickly?

Yes, through fast-track liquidation, if the B.V. has no assets left at dissolution, including cash or money still owed to it. You file the dissolution resolution, a balance sheet and a profit and loss account with KVK. If a creditor later shows the conditions were not met, the former directors can be held liable.
