Getting started

Can I reserve a UAB name in Lithuania before registration?

Yes. Registrų centras can reserve a legal entity name, usually for 6 months, on application form JAR-5 (confirm the current period and fee with your specialist). Reserving is optional but useful when documents are being signed or apostilled abroad. We check your three name choices before filing.

Which documents do founders need for a Lithuanian UAB?

A valid passport and proof of address for each shareholder, the manager and every beneficial owner, plus a short description of the business and the source of the share capital. Founders without a supported electronic signature sign before a notary, and documents signed abroad usually need an apostille. We send you a checklist matched to the signing route you choose.

What do Lithuanian banks and EMIs ask a UAB owned from abroad?

The registration certificate and articles, ID for the manager and owners, the beneficial owner details filed with the register, and a clear business plan with expected volumes and counterparties. Expect questions about why the company is in Lithuania and who runs it day to day. Consistent answers across all documents speed up the review.

Compliance

How do I register a Lithuanian company for VAT?

Through the Mano VMI portal, at least three working days before the date you want the registration to start. If the application lacks details, the tax inspectorate checks the information itself, which can take longer. The registration decision is posted in Mano VMI and applies from the date it states.

After incorporation

How do I replace the manager of a Lithuanian UAB?

The body named in the articles, usually the shareholders, appoints the new manager, and the change is registered with Registrų centras. If the change also shifts control, update JANGIS as well. We prepare the decision, collect the new manager's KYC and file both updates.

Corporate changes

A bank abroad wants proof my UAB exists. What should I order?

A current extract from the Register of Legal Entities, which shows the company's status, manager and registered details. Banks outside Lithuania often want it apostilled and sometimes translated. We order the extract and arrange the certification together.
