I have no Irish PPS number. How does the CRO identify me as a director?

You complete Form VIF, and the CRO then issues an Identified Person Number (IPN) that you use on every later filing. Since 30 April 2026 the CRO accepts only VIF forms signed with the witness and you physically in the same room, so book a notary or other witness in your country early. This step often sets the pace of the whole formation.

Can I hold my company name while the paperwork is prepared?

Yes. The CRO lets you reserve a name online for 28 days for €25, and that amount comes off the incorporation fee if the company is filed within the 28 days. A private company limited by shares must end its name with Limited or Teoranta, and it cannot drop the suffix.

What does it cost to close an Irish company by voluntary strike-off?

The CRO fee for Form H15 is €15, and you also pay for a newspaper notice published within 30 days before you apply. Any late filing penalties on old annual returns must be paid first. Our strike-off service starts from US$490.

What will a bank or payment institution ask my Irish company for?

The certificate of incorporation and constitution, the CRO extract showing directors, ID and proof of address for each director and beneficial owner, and a short business plan with expected volumes. Irish tax registration details help, so apply after Revenue has registered the company where you can. The institution decides whether to open the account.

When is the first annual return due for a new Irish company?

Six months after incorporation, and this first Form B1 goes in without financial statements. The next annual return date is 12 months later, and from then on each return must include accounts. You have 28 days after the annual return date to file.

What happens if the annual return reaches the CRO late?

A late filing fee of €100 applies the day after the 28-day deadline, plus €3 a day, up to €1,200 per return. Filing late can also cost the company its audit exemption, so we diary the date from the day the company is formed.

How does a non-resident Irish company register with Revenue?

Through a tax agent on the Revenue Online Service (ROS), or with Form TR2 (FT), the paper form for non-resident companies. One registration can cover Corporation Tax, VAT and employer PAYE. Once registered, the company files all returns and payments online through ROS.

After incorporation

What does the CRO need before it strikes off a company on request?

A special resolution, a Revenue letter of no objection dated within the last 3 months, and all annual returns filed with any late fees paid. Each director also certifies that assets and liabilities are no more than €150 each and that there is no pending litigation.
