Do my foreign documents for an Indonesian PT PMA need legalisation?

An apostille is usually enough, because Indonesia has applied the Apostille Convention since 4 June 2022. That covers documents such as a corporate shareholder's certificate or a power of attorney for signing the deed. Documents from a country outside the Convention still go through legalisation at an Indonesian embassy.

Is the minimum paid-up capital a fee I pay OCC?

No. The minimum of IDR 2,500,000,000 is the company's own money, deposited in its Indonesian bank account and used to run the business. Our package price covers the set-up work, notary and standard government fees. The capital amount and your investment plan are reported to the authorities in the quarterly LKPM reports.

What will an Indonesian bank ask for?

The deed of establishment, the Ministry of Law approval, the NIB, the company tax ID, the directors' passports and, for residents, their stay permits. Many banks ask a director to attend in person. The bank decides; we prepare the file and introduce you.

When is the quarterly LKPM investment report due?

By the 15th day of the month after each quarter: 15 April, 15 July, 15 October and 15 January, under BKPM Regulation 5 of 2025 (confirm with your specialist). It is filed through OSS, including for quarters with no new investment. Missing it can lead to sanctions on the business licence.

Does my PT PMA need to register for VAT?

Once its taxable sales exceed IDR 4,800,000,000 a year, it must register as a VAT-registered business (PKP), and many companies register earlier because customers expect VAT invoices (confirm with your specialist). The general tax ID comes through the OSS process. We set up the tax accounts with your accountant.

How do I change the shareholders or directors of my PT PMA?

A shareholders' resolution is put into a notarial deed, the notary reports it to the Ministry of Law, and the OSS records are updated. A new foreign shareholder must still fit the sector's ownership limit. Allow a few weeks for the full update (confirm the steps with your specialist).

What does my Indonesian renewal cover, and what is extra?

The renewal of a fixed quote on Starter covers the corporate services in your package for the year and your compliance calendar. Monthly tax filings, LKPM reports, sector permits and work permits are quoted separately, because the work depends on your activity and staff.

How do I close a PT PMA?

The shareholders resolve to dissolve and appoint a liquidator, the dissolution is announced and creditors get time to claim, then taxes are settled, the tax ID and NIB are closed and the Ministry of Law records the end of liquidation. Plan for many months, often more than a year when a tax audit is involved (confirm the steps with your specialist).
