Gibraltar company help: answers by topic

12 answers for owners and founders of a Gibraltar company, from ordering to banking, annual compliance and what happens after incorporation. General information, not legal or tax advice: your specialist confirms how it applies to you.

Getting started

Which words in a Gibraltar company name need extra approval?

Gaming words such as Bet, Casino or Play are referred to the Gambling Division, and finance words such as Bank, Crypto or Trust need a no-objection from the financial regulator, which it gives only once the licence is in place. Names with abbreviations need a signed letter explaining them, and non-English words need a translation letter. We check your three name choices against these rules before filing.

Why does a Gibraltar company have to be set up through a licensed provider?

Gibraltar law allows only licensed persons to provide company registration and company management services as a business, so the filing is made by a licensed Gibraltar provider. The name is cleared with the Registrar first, then the application, memorandum and articles are filed.

Pricing & payment

What does Companies House charge to incorporate a Gibraltar company faster?

Same-day incorporation adds £200 if correct documents reach the Registrar before midday, and a two-hour service costs £500. The standard registration fee of £100 plus £10 stamp duty is already inside your package price. Tell us before you pay if you need an express route.

Banking

What should I prepare before a bank reviews my Gibraltar company?

The certificate of incorporation, memorandum and articles, the register of directors and shareholders, and ID and proof of address for every director and beneficial owner. Add a short business plan showing where you trade, who your customers are and the volumes you expect. Banks look hard at where the work is done, so be ready to explain any activity outside Gibraltar.

Can my Gibraltar company bank outside Gibraltar?

Yes, a Gibraltar company can hold accounts with banks or payment institutions in other countries, and many owners do. Each institution runs its own checks and decides for itself. We introduce you to options that fit your business and currencies and prepare the application with you.

Compliance

What happens if the Gibraltar annual return is filed late?

A late return costs £257.50 in its first year, and the fee rises each year to £412 once it is more than three years late. The standard fee is £103 if you file within 30 days of the annual return date. We diary that date from incorporation so it is not missed.

After incorporation

How do I change a director or the secretary of a Gibraltar company?

File the particulars form with Companies House within 14 days of the change. The fee is £26, and a late filing adds another £26. An existing or outgoing officer signs the form, because the Registrar normally refuses the incoming director's signature. A sole director cannot also act as secretary.

How does a voluntary strike-off work in Gibraltar?

The directors, or a majority of them, apply under section 413 and confirm the company has no assets or liabilities. The filing fee is £38. The Registrar publishes a first notice, and the company is struck off three months later unless someone objects. Directors and shareholders stay liable for past obligations after dissolution.
